Optional bylaw rules
Directors
Under the ONCA, a nonprofit’s bylaws may stipulate that:
- A person may be a director by virtue of his or her office. (Section 23(4) & Section 48(2))
- Vacancies among directors may be filled only by a vote of the members. (Section 28(5))
- Directors may have the power to discipline a member or to end his or her membership. (Section 51(1))
Members
Under the ONCA, a nonprofits bylaws may stipulate that:
- A person may be a member by virtue of his or her office. (Section 23(4) & Section 48(2))
- Members may have the power to discipline a member or to end his or her membership. (Section 51(1))
- Members may vote by mail or by telephone or other electronic means, in addition to or instead of voting by proxy. (Section 67(1))
- Members may hold a members’ meeting entirely by electronic means. (Section 53(5))
